Terms of Service

1. About MarginPlug

MarginPlug is an operator intelligence service that provides HVAC business owners with weekly Operational Health Reports. The service is operated by Davis Fisher ("we," "us," or "our"). By subscribing to MarginPlug, you agree to these Terms of Service ("Terms").

2. Eligibility

You must be at least 18 years old and be a business owner or authorized representative of a business entity to use MarginPlug. By using the service, you represent and warrant that you meet these requirements.

3. The service

MarginPlug provides a business diagnostic service that:

• Collects operational data you provide through our intake form
• Scores your business across five diagnostic pillars (Lead Flow, Close Rate, Operations, Profitability, Retention)
• Delivers a weekly Operational Health Report to your email
• Identifies your primary business constraint and recommends one action per reporting period

Important limitation: MarginPlug is a diagnostic and advisory tool, not a certified accounting, legal, or financial advisory service. Reports are generated based on data you provide. The accuracy of your reports depends on the accuracy of the data you submit. MarginPlug does not independently verify the business data you provide.

4. Free trial

We offer a 14-day free trial for new subscribers. During the trial period, your payment method will be collected but not charged. If you do not cancel before the end of the trial period, your subscription will automatically convert to a paid subscription at the then-current rate. You may cancel at any time during the trial without being charged.

5. Subscription and billing

MarginPlug is offered as a monthly subscription billed at $97.00 per month (or such other price as displayed at the time of purchase). Subscriptions automatically renew each month unless cancelled.

• Billing: Your payment method is charged at the start of each billing period.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access through the end of the period you have paid for.
• Refunds: We do not offer refunds for partial months of service. If you have a billing issue, contact us at davis.fisher@marginplug.com and we will work to resolve it fairly.
• Price changes: We may change our pricing with 30 days' notice to active subscribers via email.

Payments are processed by Stripe, Inc. By subscribing, you agree to Stripe's Terms of Service available at stripe.com/legal.

6. Your responsibilities

By using MarginPlug, you agree to:

• Provide accurate business data when completing intake forms
• Use the service only for lawful business purposes
• Not attempt to reverse engineer, scrape, or reproduce the MarginPlug diagnostic methodology
• Not share your account or reports with unauthorized third parties for commercial purposes
• Keep your contact information and payment details current

7. Intellectual property

All content, methodologies, scoring frameworks, report formats, and materials produced by MarginPlug are owned by MarginPlug and are protected by applicable intellectual property laws. Your subscription grants you a personal, non-transferable license to use your reports for your own internal business purposes only.

Your business data remains yours. We claim no ownership over the operational data you submit through our intake forms.

8. Disclaimer of warranties

MarginPlug is provided "as is" and "as available." We make no warranties, express or implied, including but not limited to:

• That the service will be uninterrupted or error-free
• That our diagnostic recommendations will result in improved business outcomes
• That our reports are a substitute for professional accounting, legal, or financial advice

MarginPlug reports are informational tools to help you identify areas for attention in your business. They are not professional financial advice. Always consult qualified professionals before making significant business decisions.

9. Limitation of liability

To the maximum extent permitted by applicable law, MarginPlug and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including but not limited to lost profits, lost revenue, or business decisions made based on our reports.

Our total liability to you for any claims arising from these Terms or your use of the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless MarginPlug, its operators, and affiliates from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the service, your violation of these Terms, or your violation of any applicable law.

11. Termination

We reserve the right to suspend or terminate your access to MarginPlug at any time if you violate these Terms, engage in fraudulent activity, or use the service in a way that could harm us or other users. If we terminate your account without cause, we will refund any prepaid amounts for unused service periods.

12. Governing law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Mecklenburg County, North Carolina.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will notify active subscribers by email at least 14 days before the changes take effect. Your continued use of the service after that date constitutes acceptance of the updated Terms.
